FCFO Guarantee Terms and Conditions

The guarantee in simple terms

Within six months of kickoff, collect at least four times your base monthly program fee in recurring FCFO revenue in any single Program Month. If you do not, we waive your base program fee until you do, for up to six additional months.

For example, if your base monthly program fee is $1,000, your target is $4,000 in qualifying recurring FCFO revenue collected in one Program Month. Hitting that target once satisfies the guarantee, even if revenue falls in later months.

You must follow the participation requirements below. There is no refund of fees properly paid, and advertising, client subscriptions and other separately billed costs remain payable.

1. Scope and eligibility

Tax Master Network, LLC, an Ohio limited liability company (“TMN”) offers this guarantee to Fractional CFO Program participants whose enrollment agreement expressly includes it. This guarantee applies to achieving the Monthly Revenue Target defined below in one Program Month. It is not a cash-refund guarantee, a promise of profit, or a promise to recover other business expenses.

The participant must comply with these Guarantee Terms and Conditions and TMN’s instructions for participating in the program, including the courses, meetings, marketing activities and sales process described below. TMN communicates those instructions and deadlines through the program platform, email and scheduled meetings; no separate participation schedule is required. TMN may approve exceptions in writing. Instructions apply prospectively, with a reasonable opportunity to comply; later instructions will not retroactively disqualify a participant for earlier conduct.

2. Launch Date and measurement period

The “Launch Date” is the date TMN holds the initial kickoff or launch meeting for the cohort to which the participant is assigned, as identified in the participant’s enrollment confirmation. It is not the payment date or the date the participant completes onboarding or coursework.

The “Initial Period” begins on the Launch Date and ends immediately before its six-month anniversary. A participant’s absence, late completion of coursework, or individual rescheduling does not restart the Initial Period. If TMN reschedules the cohort’s initial launch meeting before it occurs, the actual replacement meeting date is the Launch Date.

3. Base Monthly Fee and Monthly Revenue Target

“Base Monthly Fee” means the participant’s regular base monthly program fee under the enrollment agreement as of the Launch Date, after any recurring discount. A partial-month charge, one-time credit or fee waiver does not reduce this monthly benchmark. The benchmark remains fixed throughout the Initial Period and any Extension Period.

The Base Monthly Fee excludes advertising spend, client platform subscriptions, AI usage overages, third-party charges, taxes, and other separately billed amounts. All required Initial Period payments must be current to qualify.

The “Monthly Revenue Target” is four times the Base Monthly Fee. The participant satisfies the guarantee by collecting Qualifying Revenue equal to or greater than that target in any one Program Month during the Initial Period or an applicable Extension Period. Revenue from different Program Months is not added together to meet the target. One qualifying Program Month satisfies the guarantee; the participant does not have to sustain that revenue in later months.

A “Program Month” is a consecutive monthly period beginning on the Launch Date or a monthly anniversary of that date and ending immediately before the next monthly anniversary. If a month has no corresponding anniversary day, its last day is used. There are six Program Months in the Initial Period and no more than six additional Program Months in the Extension Period.

For example, a Base Monthly Fee of $1,000 produces a Monthly Revenue Target of $4,000 in one Program Month. The four-times comparison measures recurring revenue against one month’s base fee; it does not measure net profit, investment return, or recovery of all fees and expenses paid over six months.

4. Qualifying Revenue

“Qualifying Revenue” means recurring FCFO service payments actually collected by the participant from FCFO engagements that commence on or after the Launch Date and are recorded in Scale B.O.S.S. with a signed engagement agreement and evidence that service has begun. A new FCFO engagement with an existing tax or other client may qualify; revenue from that client’s unrelated or pre-existing services does not.

Qualifying Revenue excludes onboarding fees, setup fees, standalone evaluation fees, tax-preparation or bookkeeping revenue, taxes, pass-through charges, unpaid invoices, uncollected contract amounts, and amounts refunded or charged back. Annualized projections and the total face value of a signed agreement are not collections. Receipts covering mixed services must be reasonably allocated to the qualifying recurring FCFO services.

Payments must be collected in the Initial Period or, if an extension applies, the Extension Period. They must result from genuine services at the pricing tiers TMN specifies in its program course materials or standard engagement agreement, or under a written exception approved by TMN. Sham transactions, circular payments and artificially inflated receipts do not qualify.

5. Participant requirements

Throughout the Initial Period and any Extension Period, the participant must:

  1. Education. Complete every required course and assignment by the deadlines TMN communicates, with completion documented in the designated system.
  2. Attendance. Attend every required meeting at the cadence established by TMN. Request individual rescheduling at least 24 hours before the original meeting, agree on a replacement no more than 72 hours before or after the original meeting, and return to the regular cadence the following week. If TMN authorizes a makeup for a group session, the participant must complete the makeup TMN assigns by its stated deadline. A meeting canceled by TMN, or a timely requested replacement TMN cannot accommodate, will not by itself disqualify the participant.
  3. Five initial clients. Identify at least five current clients reasonably suited to FCFO services; provide contact information the participant is authorized to share; and work with TMN on introductions, scheduling, discovery meetings, proposals and follow-up. The participant must make the required efforts and document them. A client’s refusal to attend or buy is not itself a failure by the participant to cooperate.
  4. Marketing implementation. Supply the specified email lists, permissions, business information, assets and account access; implement and maintain the supplied website to the written specifications; and cooperate with the agreed email marketing and other campaign activity by the stated deadlines.
  5. Sales and delivery. Use the required sales process, tools, evaluations and engagement agreements. Follow TMN’s pricing tiers in the program course materials or standard engagement agreement unless TMN approves an exception in writing. Maintain the availability, qualifications and service capacity needed to pursue and serve clients.
  6. Communication and evidence. Respond to program communications within the stated deadlines; maintain accurate course, attendance, outreach, proposal, agreement, service-start and payment records; and provide reasonably necessary evidence to verify eligibility and Qualifying Revenue.
  7. Required costs. Pay all amounts that remain payable and pay for advertising the participant authorizes as part of the program. These terms do not impose a minimum advertising budget; any required minimum must be separately agreed in writing.

TMN will provide the included services and reasonable assistance needed for the agreed launch and initial-client process. A participant will not be disqualified for a requirement that TMN’s own failure prevents the participant from completing.

6. Revenue reporting and claim review

The participant must keep monthly revenue and participation records current in Scale B.O.S.S. or the other program system TMN designates and submit the final Initial Period report and request for an extension to support@taxmasternetwork.com within 30 calendar days after the Initial Period ends. The report must identify the relevant engagements, collected recurring fees, refunds or chargebacks, and supporting records separately for each Program Month. During an Extension Period, the participant must report each Program Month’s results within 10 business days after that month ends. Signed agreements alone do not establish collection.

TMN may request reasonably necessary missing evidence, to be supplied within 10 business days. TMN will issue a written eligibility determination and calculation within 10 business days after receiving a complete submission, identifying any grounds for denial. The participant may submit corrections or seek reconsideration within 10 business days after that determination. Verification will be based on the stated criteria and records, not unrestricted discretion.

An approved extension is effective immediately after the Initial Period, regardless of the review date. TMN will suspend collection of base fees attributable to the claimed Extension Period while reviewing a timely, complete submission. If any base fee has already been collected for a period subsequently approved as waived, TMN will promptly return that amount to the original payment method rather than require the participant to use a future account credit. This corrects a charge that should have been waived; it does not refund fees properly paid for the Initial Period. If a claim is denied, TMN will identify the base fees that remain due and their payment deadline in the written determination. The review process does not extend the twelve-month outer limit in Section 7.

7. Extension and available remedy

If an eligible participant has not met the Monthly Revenue Target in any one of the first six Program Months, TMN will waive the base program fee and continue providing the services included in the participant’s paid base program during one “Extension Period.” The extension continues the same base program access, tools, coaching and support included in the enrollment agreement; it does not require TMN to repeat completed launch sessions or completed courses, or provide separately priced services without charge.

The Extension Period begins immediately after the Initial Period and ends on the earlier of: (a) the end of the first Program Month during the extension in which Qualifying Revenue equals or exceeds the Monthly Revenue Target; or (b) the twelve-month anniversary of the Launch Date. It therefore lasts no more than six additional months. Achieving the target in one Program Month fully satisfies the guarantee. A later revenue decline, client departure or additional expense does not reinstate or restart it. Fraud or falsified records do not establish achievement of the target.

The base-fee waiver and continued included services are the contractual remedy under this guarantee. Fees properly paid for the Initial Period will not be refunded. Advertising spend, client subscriptions, AI overages and all other excluded charges remain payable throughout the extension. Nothing in this section limits rights or remedies that applicable law does not permit the parties to waive.

8. Noncompliance, cancellation and end of waiver

TMN may deny or end eligibility for a material failure to meet a stated requirement. Except for fraud, intentional falsification or unlawful conduct, TMN will identify the failure in writing and allow 10 business days to correct a curable failure or agree on an appropriate makeup. A corrected minor recordkeeping error alone will not forfeit the guarantee. Approved written exceptions and failures caused by TMN will be honored.

If the participant voluntarily cancels the program, the right to future services and future fee waivers ends without a cash payment. Cancellation does not erase a billing correction already owed. TMN may not use a termination for convenience solely to avoid an accrued extension obligation; termination for cause remains subject to this section and applicable law.

After the waiver ends, any continuing subscription is governed by the enrollment agreement and these Terms. TMN will provide the basis for ending the waiver and at least 15 calendar days’ notice of the date and amount of resumed base-fee billing, allowing the participant to cancel by written notice to support@taxmasternetwork.com before that charge without paying a resumed base fee, notwithstanding any longer general cancellation-notice period. Resumed base fees will not be charged retroactively for periods previously waived. The participant remains responsible for separately billed charges incurred before cancellation becomes effective.

9. Relationship to the Terms of Service and Privacy Policy

These Guarantee Terms and Conditions supplement TMN’s Terms of Service at https://taxmasternetwork.com/tos/ and form part of the participant’s agreement when expressly included at enrollment. These Guarantee Terms and Conditions control over conflicting provisions of the Terms of Service solely as necessary to give effect to the expressly promised base-fee waiver, service continuation, billing corrections and review procedures. General payment, warranty, suspension, renewal and termination provisions do not nullify an extension earned under this section. Other provisions remain effective to the extent consistent with it and applicable law.

This guarantee applies only to enrollments that expressly incorporate this version. It does not retroactively reduce rights under an earlier agreement or representation.

Information submitted to administer and verify this guarantee is handled under TMN’s applicable Privacy Policy and the confidentiality and data-protection provisions of the Terms of Service. The participant must have authority to provide client information and may redact unrelated confidential information, provided the remaining records permit verification of eligibility and Qualifying Revenue.

Notices and requests under this guarantee must be sent to support@taxmasternetwork.com. TMN will send notices and determinations to the email address associated with the participant’s program account. “Business days” means Monday through Friday, excluding U.S. federal holidays.
